1. Agreement
These Terms of Service ("Terms") govern your use of the Vorbia mobile application (the "App") provided by Vorbia ("we", "us", or "our"). By downloading or using the App, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.
2. The Service
Vorbia is a creative tool for importing multitrack audio, positioning sources in 2D/3D space, previewing binaural/spatial mixes with headphones, and exporting mixed audio. Features may vary by device, iOS version, and subscription level. We may update, modify, or discontinue features with reasonable notice where practicable.
3. Eligibility
You must be at least 13 years old (or the minimum digital consent age in your jurisdiction) and able to form a binding contract. If you use the App on behalf of an organization, you represent that you have authority to bind that organization.
4. License
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for personal or internal business purposes in accordance with these Terms and applicable App Store rules. You may not: • Reverse engineer, decompile, or attempt to extract source code except as permitted by law • Copy, modify, or create derivative works of the App • Rent, lease, sell, or sublicense the App • Use the App unlawfully or to infringe others' rights • Circumvent subscription, export, or technical protections
5. Your Content
You retain ownership of audio and other content you import or create ("User Content"). You are solely responsible for User Content and must have all necessary rights, licenses, and permissions. You represent that your use does not violate law or third-party rights. We do not claim ownership of User Content processed on your device.
6. Subscriptions and Billing
Pro features may require a paid subscription or one-time purchase through Apple's App Store. • Payment is charged to your Apple ID account • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period • Your account is charged for renewal within 24 hours before period end • Manage or cancel subscriptions in Settings > Apple ID > Subscriptions • Free trials or introductory offers, if offered, convert to paid subscriptions unless canceled in time • Refunds are handled by Apple under App Store policies Prices may change with notice where required by law or platform rules.
7. Free and Pro Features
Certain features (such as advanced motion presets, premium reverb spaces, adjustable distance/Doppler strength, and lossless export formats) may require an active Pro entitlement. Feature availability may change. Free-tier functionality remains available without purchase as described in the App.
8. Acceptable Use
You agree not to misuse the App, including by uploading unlawful content, harassing others, distributing malware, interfering with the App's operation, or attempting unauthorized access to systems or services.
9. Intellectual Property
The App, including software, design, trademarks, and documentation (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
10. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not guarantee uninterrupted, error-free, or perfectly accurate spatial audio results. Preview and export output may vary by headphones, device, and source material.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP OR SUBSCRIPTIONS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, misuse of the App, or violation of these Terms or applicable law, except where caused by our intentional misconduct or gross negligence.
13. Termination
You may stop using the App at any time by uninstalling it. We may suspend or terminate access if you materially breach these Terms or if required by law or platform policy. Sections that by nature should survive (including licenses limitations, disclaimers, liability limits, and dispute terms) will survive termination.
14. Governing Law, Disputes, and Apple Terms
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory consumer protection laws in your country of residence require otherwise. EU/EEA/UK consumers: You retain mandatory rights under local consumer law, including rights relating to digital content and distance contracts where applicable. You may bring claims in your country of residence courts where required by law. Informal resolution: Contact vorbia.app@gmail.com before formal proceedings where reasonable. Apple: These Terms are between you and us, not Apple. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support. Apple is a third-party beneficiary of these Terms and may enforce them against you. You must comply with applicable App Store terms. Changes: We may update these Terms.
